I recently resigned from a public company who wants me to consult part time and pay me as an independent contractor and issue a 1099.

A business license serves a dual purpose, at once certifying that your business is, as you wish to operate it in the municipality or county that you wish to operate it in is legal, as well as registering your business for essential local taxes and opening an account for you to pay your returns into.

The work they want me to do is a small fraction of the same work I was doing as a regular employee. Can they classify me as an independent contractor? They allowed me to keep the company computer, company email address and company cell phone. Do I need a business license and/or liability insurance?

While the company has retained you in many ways, you have legally separated from one another as a consequence of your resignation. As such, it is essential you obtain a business license.

07 - Here are the licenses and tax ids you are legally required to obtain before starting business operations: 1. A business tax registration license 2. A DBA assumed business name 3. A federal tax id number if you are a partnership or you want to use it instead of you social security number to open a bank account. Also, note that forming an llc or incorporating eliminates the requirement of getting a dba. It is a good idea to form an llc to avoid personal liability from business transactions.

Failure to obtain a business license in your case can result in two large problems. Firstly, down the road, your company will be forced to cease employing you as a contractor. Second, you will not be able to keep up with local taxes, which will result in a wide range of legal difficulties.
